Procurement teams use key performance indicators (KPIs) to ensure vendors comply with (and hopefully exceed) the obligations outlined in a contract. They help us better understandsuppliers’ performance, measure their output over a long period of time, and identify areas where improvement is needed.

Put simply, it’s good business sense to make sure you’re actually getting what you’ve paid for. This might be as straightforward as confirming a product or service is delivered on time, which means the KPIs you need to use will be minimal and basic.

The organisation should have an overarching strategies or policies which sets out the social and environmental objectives to be pursued via procurement and the supply chain generally. Some of these will be about the specification, but that must be tied in other aspects of the sourcing strategy. These objectives, policies and strategies can be found in corporate social responsibility policy.

SLAs define service levels and performance detail such as:

Frequency of service (1)

Staff qualifications (3)

Stockholding requirements (4)Dispute procedures (2) belong in the contract, not the SLA.

The ITT is issued by the buyer and typically includes:

Requirements, scope, and delivery milestones (C).

Evaluation criteria, instructions to tenderers, contract conditions, etc.

Supplier rates and liquidity ratios belong in the supplier response or financial evaluation. BAFO is a later negotiation step, not content of the ITT itself.

One of the major disadvantages of tendering process is that it is lengthy, bureaucratic and slow. To reduce the preparation time, buying organisation can:

- Plan forward

- Standardise tendering documents (such as notices, terms and conditions,...) whenever possible

- Train procurement staff

- Write down policies for tender-waiver

Buying organisation should not eliminate the pre-qualification stage from all tendering processes. This stage is used as a filter to select the most competent suppliers for next stage in restricted tendering. To save time in this process, you can design a model questionnaire.

In a ' battle of the forms ' , both buyer and supplier exchange documents with conflicting terms. The general rule is that the terms of the last document exchanged before performance (e.g., delivery or payment) that is not objected to will govern the contract. An order acknowledgement from the supplier with its own terms, followed by acceptance (e.g., payment), usually constitutes the final word.

Effective KPIs should be measurable, relevant, and tied to performance. " Complaints resolved within two days " and " Delivery of goods on time and in full " are standard KPIs as they reflect quality and timeliness of service—both key to contract success. The " total number of services " and general reductions do not directly reflect performance outcomes.

When a buyer accepts a supplier’s standard terms and conditions, the risk is that those terms are drafted to protect the supplier, not the buyer.

Supplier terms typically limit liability, restrict warranties, and include supplier-favourable payment conditions.

Therefore, the buying organisation risks being bound by contract conditions that are favourable to the supplier (D).

Framework agreements allow for pre-approved suppliers to be used over a contract period with simplified ordering processes. A key benefit is the use of mini-competitions among these suppliers to secure value and innovation without repeating the full tender process. This approach is highly effective in dynamic sectors like telecommunications.

Capacity to contract relates to legal and mental ability:

Severe mental disorder (1) can mean no true understanding of the contract → lack of capacity.

A corporation acting ultra vires (4) (beyond its legal powers) is considered to lack capacity in that transaction.

Failing to concentrate (2) is carelessness, not incapacity. Being 19 years old (3) is over the usual age of majority (18), so there is capacity.
